This website is operated by LoopTrading LLC (the "Company"). Throughout the site, the terms "we," "us," and "our" refer to the Company. The Company offers this website, including all information, tools, and services available from this site, to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

By visiting our site and/or creating an account with us, you engage in our "Service" and agree to be bound by these terms and conditions ("Terms of Service," "Terms"), including the additional terms, conditions, and policies referenced herein. These Terms apply to all users of the site. Please read them carefully before accessing or using the Service. By accessing or using any part of the site, or by clicking a box stating that you accept these terms, you signify your agreement to them. If you do not agree to all of the terms and conditions of this agreement, you may not access the website or use any Services. If these Terms are considered an offer, acceptance is expressly limited to these Terms.

Any new features or tools added to the Service are also subject to these Terms. You can review the most current version of the Terms at any time on this page. We reserve the right to update, change, or replace any part of these Terms by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

1. Beta and Counsel Review Status

These Terms govern access to LoopTrading during its limited beta and counsel review period. LoopTrading is a software product operated in the United States by LoopTrading LLC (formation in progress) while final launch terms and regulatory posture are being reviewed. Before public launch, these Terms should be finalized with the entity's registered address, tax handling, and any required regulatory disclosures.

By creating an account, connecting an exchange, configuring a bot, using beta access, or otherwise using LoopTrading (the "Service"), you agree to these Terms, the Privacy Policy, and the Risk Disclosure. If you do not agree, do not use the Service.

2. What LoopTrading Provides and Does Not Provide

2.1. What LoopTrading provides

LoopTrading is self-directed software that lets users configure automated cryptocurrency trading strategies. When you connect an exchange API key, the Service sends authenticated instructions to your selected exchange according to the settings you choose.

2.2. What LoopTrading does not provide

  • No custody. Your assets remain in your own exchange accounts. LoopTrading does not hold, receive, or safeguard customer funds or crypto assets.
  • No withdrawal permission. You should never enable withdrawal permission on any API key connected to the Service. We do not need it and do not ask for it.
  • No investment advice. LoopTrading does not recommend assets, tell you when to trade, predict prices, manage a portfolio for you, or tailor strategies to your financial situation.
  • No regulated financial role. Unless later changed in a counsel-approved launch document, LoopTrading is intended to operate as a software tool, not as a bank, broker-dealer, exchange, investment adviser, commodity trading adviser, money transmitter, custodian, tax adviser, or fiduciary. Counsel should confirm this classification before public launch.
  • Not a bank; not FDIC insured. LoopTrading is a financial technology company, not a bank. LoopTrading does not accept deposits, does not hold customer funds or crypto assets, and does not provide banking services. LoopTrading is not insured by the Federal Deposit Insurance Corporation (FDIC). Crypto assets are not bank deposits and are not insured or guaranteed by the FDIC, the Securities Investor Protection Corporation (SIPC), or any other governmental agency or insurance program. Crypto assets can lose value, including the entire amount committed.

3. Eligibility and Location Restrictions

You represent and agree that:

  • You are at least 18 years old and old enough to form a binding contract;
  • You are legally permitted to trade cryptocurrency and use automated trading tools in your jurisdiction;
  • You are the lawful owner or authorized user of each connected exchange account and API key;
  • You are not located in, ordinarily resident in, or organized under the laws of a comprehensively sanctioned jurisdiction;
  • You are not listed on, controlled by, or acting for anyone listed on a U.S. or international sanctions list;
  • You will not use any exchange, symbol, product, or feature where doing so would violate law, exchange rules, or your exchange account terms.
  • You acknowledge and agree that you have the requisite knowledge, experience, and skill to trade cryptocurrencies;
  • You agree that each specific exchange you connect to your LoopTrading account may have its own terms and conditions and that you are bound thereby;
  • At any time, should you no longer be eligible to use LoopTrading for any reason, you agree that you will immediately cease its use.

If the Service later supports non-U.S. exchanges or international exchange endpoints, you are responsible for using only the versions legally available to you. U.S. persons must not use international exchange features that are unavailable to U.S. users.

4. Your Trading Decisions and Bot Settings

You control all strategy selections, symbols, order sizes, offsets, stop settings, capital caps, exchange keys, and launch decisions. Bots may place market orders, limit orders, recurring buys, ladder buys, trailing exits, or other instructions based on your configuration. You are solely responsible for every setting you choose and every trade that results.

Educational materials, sandbox simulations, backtests, strategy guides, assistant responses, leaderboards, rankings, sample presets, and interface defaults are provided for general information and product education only. They are not investment, legal, accounting, or tax advice and are not recommendations to buy, sell, hold, or use any asset, strategy, exchange, or configuration.

5. Trading and Technology Risk

Cryptocurrency trading is high-risk. You can lose your entire deposit and more than you expected to risk. Automated trading can amplify mistakes because software may continue acting while markets move. See the Risk Disclosure for more detail.

Without limitation, you accept the risk of:

  • Rapid price movement, flash crashes, illiquidity, and slippage;
  • Exchange outages, API downtime, stale prices, rate limits, rejected orders, delayed fills, partial fills, and order minimums;
  • Software defects, state drift, delayed workers, missed ticks, duplicate events, and infrastructure outages;
  • Incorrect API-key permissions, compromised exchange accounts, or failure to revoke a key promptly;
  • Tax, accounting, and regulatory consequences from frequent trading;
  • Capital being locked in open positions while a bot waits for recovery or a configured exit.

6. Account Security and API Keys

You are responsible for:

  • Maintaining the confidentiality of your LoopTrading login credentials;
  • Using strong passwords and multi-factor authentication wherever available;
  • Creating exchange API keys with the minimum necessary permissions, usually view and spot trading only;
  • Never enabling withdrawal permission on connected keys;
  • Monitoring your bots and exchange accounts regularly;
  • Immediately revoking and replacing any API key you believe may be compromised.

LoopTrading stores API secrets encrypted at rest and does not display plaintext secrets after saving. No system is perfectly secure, and you remain responsible for your exchange account and funds.

7. Beta Availability and Product Changes

During beta, the Service is pre-release software. Features may be added, changed, paused, or removed. Data may be corrected or migrated. The Service may be unavailable while we fix defects, respond to exchange issues, complete legal review, or perform maintenance. You should not rely on LoopTrading as your only system of record; your exchange account is the source of truth for balances, orders, fills, and tax records.

8. Billing Plans and Payment Authorization

LoopTrading offers a flat subscription plan, and may offer a trial or beta access as shown at signup or in your account. Fees are fixed and are not based on your trading volume, trading activity, or trading profits. Current billing language is subject to final counsel and Stripe review before paid public launch.

  • Subscription plan. A recurring monthly fee, currently displayed in the app as US $19.99 per month unless a different amount is shown at checkout. The plan renews automatically until cancelled through the billing portal or another method we provide.
  • Discontinued plans. Any previously offered performance-based or profit-share plan has been discontinued and is no longer available. If your account was on such a plan, any remaining accrued amount is settled when your account moves to the subscription plan, and no further profit-based fees accrue.
  • Payment processor. Payments are processed by Stripe. We do not store full card numbers, CVV codes, or complete payment-card credentials.

By providing a payment method, selecting a paid plan, saving a card, or continuing after a trial, you authorize LoopTrading and Stripe to charge the applicable fees, taxes, and adjustments for the plan you selected.

You are responsible for reviewing billing history and reporting suspected errors promptly. Unless required by law or stated at checkout, fees are not refundable once charged. If a charge fails, access may be paused, downgraded, or terminated after any grace period shown in the app or provided by Stripe.

9. Taxes

You are responsible for any taxes arising from your trading activity, your use of the Service, and any fees charged by LoopTrading. Every bot trade may be a taxable event. LoopTrading may show trade history, fees, or P&L estimates, but those records may be incomplete or differ from exchange tax exports. Consult a qualified tax professional.

10. Top Loops, Public Metrics, and Feedback

Some features may let you opt into anonymous or pseudonymous public sharing, such as a leaderboard. If you opt in, the Service may display limited performance metrics such as strategy, exchange, return percentage, cycle count, fees, or anonymized identifiers. Do not opt in if you do not want this information shown publicly.

If you provide feedback, suggestions, bug reports, screenshots, or feature ideas, you grant LoopTrading permission to use them to operate, secure, and improve the Service without compensation to you.

11. Acceptable Use

You agree not to:

  • Use the Service for fraud, money laundering, sanctions evasion, market manipulation, wash trading, spoofing, abusive arbitrage, or illegal activity;
  • Use exchange APIs, credentials, or accounts without authorization;
  • Attempt to bypass access controls, rate limits, beta restrictions, billing systems, or security controls;
  • Probe, scan, scrape, stress test, or attack the Service without prior written permission;
  • Reverse engineer, copy, resell, sublicense, or create a competing service from the platform except where law allows and cannot be waived;
  • Interfere with other users, exchanges, infrastructure providers, or the integrity of market data.

12. Intellectual Property

The Service, including its code, design, interface, documentation, content, workflows, mascots, marks, and strategy presentation, is owned by LoopTrading or its licensors. You receive a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose during your authorized access period.

13. Suspension and Termination

You may stop bots, disconnect exchange keys, or close your account using available account tools or by contacting us. If in our sole judgment you fail, or we suspect that you have failed, to comply with these Terms, we may suspend or terminate your access to LoopTrading. We may also suspend or terminate your access to LoopTrading if you create a legal or security risk, fail to pay fees, misuse the Service, or if beta access ends. When access ends, LoopTrading may stop or pause bots, but open positions and exchange account activity remain your responsibility.

14. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind. To the fullest extent permitted by law, LoopTrading disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted operation, security, and any warranty that a bot, strategy, simulation, backtest, alert, safety feature, or support response will achieve any particular result. You expressly understand and agree that the Service has not been developed or tailored in any way to meet your specific needs.

15. Limitation of Liability

To the fullest extent permitted by law, LoopTrading and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages; lost profits; lost opportunities; lost data; trading losses; exchange losses; tax consequences; or losses caused by market movements, exchange behavior, third-party services, software issues, downtime, or your configuration decisions.

The parties understand and agree that cryptocurrency trading is volatile and that there is a substantial risk of loss. You agree that any damages arising out of such losses are difficult or impossible to precisely ascertain. Therefore, to the extent LoopTrading is determined to be liable to you arising out of or related to your use of the Service, you agree that LoopTrading's total cumulative liability shall be the lesser of (a) the amount you paid LoopTrading for the Service in the 12 months before the event giving rise to the claim; or (b) US $100. The parties agree that the agreed-upon limit on monetary damages in no way constitutes a penalty and represents the reasonable value of your use of the Service.

16. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless LoopTrading and its owners, officers, employees, contractors, affiliates, and service providers from claims, awards, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees (and costs of enforcing any right to indemnification and the cost of pursuing any insurance providers), arising from or in any way related to your use of the Service, your bots, your exchange accounts, your API keys, your violation of these Terms, or your violation of law or third-party rights.

17. Non-Waiver

If a party does not exercise or enforce any legal right or remedy contained in these Terms (or which it has the benefit of under any applicable law), this will not be taken to be a formal waiver of its rights, and those rights or remedies will still be available to that party.

18. Changes to These Terms

We may update these Terms as the beta progresses and as counsel completes review. Material changes may be announced by email, in-app notice, or a renewed acceptance screen. Continued use after an update becomes effective means you accept the updated Terms.

19. Disputes and Governing Law

These Terms of Service, and any separate agreements whereby we provide you Services, shall be governed by and construed in accordance with the substantive laws of the State of North Carolina, without regard to its conflicts of law rules. All disputes arising in connection with these Terms shall be exclusively brought and finally settled in the state courts located in Wake County, North Carolina, or the federal District Court for the Eastern District of North Carolina. Both parties irrevocably submit to the jurisdiction of said state and federal courts for any action or proceeding regarding these Terms, and each party consents to the personal and subject matter jurisdiction of such courts for said purposes and waives any defense with respect to any such action based upon forum non conveniens or lack of personal or subject matter jurisdiction.

THE COMPANY AND YOU BOTH UNDERSTAND AND AGREE TO WAIVE THEIR RIGHT TO A JURY TRIAL WITH REGARD TO ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

YOU FURTHER AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE SHALL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU UNDERSTAND AND AGREE TO WAIVE YOUR RIGHT TO PARTICIPATE IN OR BRING A CLAIM AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
